I also work with many venture capital and private equity investors. For early stage companies, I ensure that they are built for and that we are always planning for future success. Because I have seen hundreds of deals (and eat, sleep and breathe start-ups), I provide good and practical advice as to key deal terms, alternative transaction structures and how to avoid pitfalls – I not only offer “pure legal” advice, but also work to optimize economic and other business terms and generally serve as a trusted advisor. For later stage private companies and public companies, I help them navigate their most challenging issues and effectively execute their key transactions, including fund raising, strategic investments, recapitalizations, sell-side and buy-side M&A deals and other strategic transactions. For my investor clients, I run a comprehensive and efficient transaction by leveraging my deep experience representing companies and focusing on the investor’s core investment thesis and the unique risks of the target company. With all my clients, I provide practical and thoughtful legal advice with the primary goal of solving real world problems and I am extraordinarily client service focused.
